Important: These Terms of Service are provided as a template. Atlas Eastward Ltd recommends you obtain independent legal advice before publishing or relying on any contractual terms.

1. Acceptance of Terms

By accessing our website at www.atlaseastward.com or engaging Atlas Eastward Ltd (Company No. [pending], registered office to be confirmed; "Atlas Eastward", "we", "us") for services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our website or services.

These Terms apply to all visitors, clients, and others who access or use our services.

2. Our Services

Atlas Eastward provides digital marketing and ecommerce growth services, which may include but are not limited to:

The specific scope of services will be agreed in a separate Statement of Work (SOW) or Service Agreement between Atlas Eastward and the client. In the event of conflict, the SOW takes precedence over these Terms.

3. Client Obligations

As a client, you agree to:

Atlas Eastward shall not be liable for any failures or delays in service delivery resulting from the client's failure to fulfil their obligations.

4. Fees and Payment

Pricing

Fees for services are agreed in the relevant SOW or proposal. Prices are quoted in GBP (£) unless otherwise stated and are exclusive of VAT.

Payment terms

Late payment

We reserve the right to charge statutory interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, and to suspend services where payment is more than 30 days overdue.

Ad spend

Ad spend (media budget) paid directly to advertising platforms is separate from and in addition to Atlas Eastward's management fees. Clients retain direct billing relationships with advertising platforms.

5. Intellectual Property

Our intellectual property

All content on our website, including text, graphics, logos, and software, is the property of Atlas Eastward Ltd or its licensors and is protected by applicable intellectual property laws.

Work product

Upon receipt of full payment, Atlas Eastward assigns to the client ownership of bespoke deliverables created specifically for that client under the relevant SOW. Atlas Eastward retains ownership of pre-existing tools, frameworks, methodologies, and processes, and retains a non-exclusive licence to use any deliverables in its portfolio.

Client content

You grant Atlas Eastward a non-exclusive licence to use your brand assets, content, and data solely to the extent necessary to provide the agreed services.

6. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party ("Confidential Information") and to use it only for the purposes of the engagement. This obligation does not apply to information that is or becomes publicly available other than through a breach of this clause, or that is required to be disclosed by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

8. Warranties and Disclaimers

Atlas Eastward warrants that services will be performed with reasonable skill and care in accordance with good industry practice. Except as expressly stated, services are provided "as is" and we make no warranties, express or implied, including warranties of fitness for a particular purpose.

We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Termination

Either party may terminate a service engagement by giving 30 days' written notice, unless otherwise stated in the SOW. Atlas Eastward may terminate with immediate effect if the client materially breaches these Terms and fails to remedy the breach within 14 days of written notice, or if the client becomes insolvent.

Upon termination, the client shall pay all fees due for work completed up to the termination date. All ad account access and ownership remains with the client at all times.

10. General

Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Entire agreement

These Terms, together with any applicable SOW, constitute the entire agreement between the parties and supersede all prior discussions, representations, or agreements.

Amendments

We may update these Terms from time to time. Continued use of our services following any update constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
